Welcome to CarryOn

We are CarryOn, Inc. ("CarryOn," "Us," "We," or "Our"). Our platform is dedicated to building and connecting a global community of friends and associates who share common interests and are committed to bridging cultural, geographic, and social gaps through both online and offline interactions. Our community is brought together by various factors, including a shared desire to exchange items, goods, products, or services, which we call "CarryOn Items," between individuals looking to acquire them globally, known as "Shoppers," and those willing to assist in delivering these items to their friends, referred to as "Travelers." We provide these services through our Online Platforms, accessible at https://carryon.global.

NOTICE: PLEASE THOROUGHLY REVIEW THESE TERMS. THEY CONSTITUTE A LEGALLY BINDING AGREEMENT AND INCLUDE A MANDATORY ARBITRATION CLAUSE AND A WAIVER OF CLASS ACTIONS. THESE PROVISIONS HAVE SIGNIFICANT IMPLICATIONS FOR YOUR LEGAL RIGHTS AND AVAILABLE REMEDIES, AS EXPLAINED IN THE "ARBITRATION AND CLASS ACTION WAIVER" SECTION BELOW. KINDLY READ WITH CARE.

These Terms of Use form a contractual agreement and provide crucial information about your legal rights, obligations, and available remedies. They encompass and include the CarryOn Privacy Policy, collectively referred to as the "Terms," which you should thoroughly review. Your acceptance of these Terms depends on how you utilise our platform, whether as a Shopper, Traveler, or in any other capacity. In these Terms, "You" or "Your" pertains to the individual(s) who access, use, or engage with the CarryOn Platform in any manner, along with their heirs, successors, and assigns. By accessing or utilising any facet of our platform, including but not limited to acting as a Shopper, Traveler, or simply browsing the CarryOn Platform, you are signifying your agreement to adhere to the Terms and the incorporated documents.


Changes to the CarryOn Platform, the Terms of Use, and Incorporated Documents

We are constantly evolving and enhancing the CarryOn Platform. We retain the sole discretion to make modifications, add or remove features, or suspend or terminate any part or all of the CarryOn Platform, with or without prior notice to you. We may also revise or amend these Terms, along with the incorporated documents, to align with legal changes, alterations to the CarryOn Platform, Fees (defined below), or any other aspects of the relationship between CarryOn and you. It's advisable to regularly review the Terms.

In the event that we make alterations to these Terms or any other referenced document, we will publish the changes on the Terms of Use pages on our Platform. These amendments become effective no earlier than thirty (30) days after being posted on the CarryOn Platform for existing users, and instantly for all new users who join and accept the terms after the day these amendments are posted, unless we notify you otherwise. If you do not agree to the

Terms, whether in their original form or as modified, we regret your departure, but your only course of action is to discontinue using or accessing the CarryOn Platform.


Platform Eligibility and Usage

Access to and utilisation of the CarryOn Platform is exclusively available to individuals who are at least 18 years old, possess the capacity to enter into legally binding contracts in accordance with relevant laws, and successfully create a valid account as elaborated below. These valid account holders, whether functioning as Shoppers, Travelers, or both, may collectively be referred to as "Members" within these Terms. When you access or use the CarryOn Platform, you confirm and guarantee your eligibility to do so.


YOU ALSO RECOGNIZE AND AGREE THAT, UNLESS OTHERWISE SPECIFICALLY

AGREED UPON IN WRITING, CARRYON DOES NOT engage in the business of offering, selling, purchasing, or delivering "CarryOn Items." By accessing the CarryOn Platform and becoming a Member, you acquire the ability to use the platform solely to connect with potential Shoppers and/or Travelers, including, but not limited to, the capability to communicate with other Members regarding "CarryOn Items." You understand that CarryOn is not a participant in any relationship or agreement between you and another Member, and any such relationship is strictly between the Members themselves. Furthermore, you acknowledge and accept that at all times, it is your responsibility, not CarryOn's, to familiarise yourself with, adhere to, and comply with all applicable federal, state, local, and international laws, rules, and regulations relevant to any "CarryOn Items" or any relationship between Members.


Members also acknowledge and agree that they are merely users of the CarryOn Platform and are not considered employees, joint venture partners, or agents of CarryOn in any capacity. CarryOn does not possess the authority to control, nor does it control, Members or the relationships between them, or the subject matter of those relationships. It is the Members themselves who establish any applicable Traveller Fees, except where otherwise stated in these Terms. While CarryOn may assist in resolving disputes, we do not have control over, and do not guarantee (i) the existence, quality, safety, suitability, or legality of any "CarryOn Items" arranged between Members, (ii) the accuracy, truth, or suitability of any descriptions or other information provided by Members on the CarryOn Platform, (iii) the conduct or performance of any Member or third party, or (iv) the legality or compliance with applicable laws, rules, regulations, orders, or decisions related to any relationship between Members or its subject matter. Although we may offer information to help you assess another Member and their status within the CarryOn community, CarryOn does not endorse any specific Member or "CarryOn Item." Any mention of a Member being "Verified" (or similar language) only signifies that the Member has undergone a verification or identification process, and nothing more.


In order to promote the CarryOn Platform and enhance its visibility to potential Members or their desired "CarryOn Items," content from the CarryOn Platform may be displayed on other websites, applications, and various forms of communication (including email, SMS, or other text message services), as well as in both online and offline advertisements. To facilitate Members who speak different languages, content from the CarryOn Platform may be

translated, either entirely or partially, into other languages. In such cases, CarryOn does not assure the accuracy or quality of these translations, and Members are responsible for reviewing and verifying their accuracy.


Account Registration and Member Verification

To access certain features and services on our platform, you must complete a valid account registration process and become a Member. You are limited to having only one (1) Account at a time, and transferring your account to another individual or entity is strictly prohibited. By registering for an account, you confirm and warrant that you are of legal age, which is eighteen (18) or older, and possess the capacity to enter into legally binding agreements in your relevant jurisdiction(s).


Furthermore, you affirm and warrant that you will adhere to all applicable import and export control laws and customs regulations in your local jurisdiction. You also assert and guarantee that (i) neither you nor the subject of your transaction (i.e., "CarryOn Items") is under the embargo of the United States or any other country, nor has been identified by the United States Government as a "terrorist supporting" nation, and (ii) you are not listed on any United States Government or any other country's registry of prohibited or restricted parties.


To create a Member account, you must establish a password-protected "Account." You can register for an Account using your email and creating a password, or by utilizing your existing third-party social networking accounts enabled by CarryOn, such as Google, Facebook, Twitter, or other platforms that CarryOn may incorporate now or in the future ("Third Party Networks"), if applicable. You agree to provide precise, up-to-date, and comprehensive information during the Account registration process and maintain the accuracy, currency, and completeness of your information whenever you use the CarryOn Platform. It is your sole responsibility to safeguard your CarryOn Account password, and, if relevant to a Third Party Network, other associated information. You are exclusively accountable for all activities conducted through your Account or Third Party Network-created account, and you must promptly notify CarryOn of any suspected unauthorised usage.

CarryOn is not liable or otherwise responsible for any claimed loss or damage attributed, in part or in whole, to unauthorised use of your Account. However, you may be held liable or accountable to CarryOn or third parties for unauthorised Account use.


You acknowledge and agree that, as permitted by applicable laws, CarryOn has the discretion, but not the obligation, to acquire reports from consumer reporting agencies or assess publicly available data about Members, including sexual offender registration lists or databases aggregating information concerning criminal convictions encompassing various offences such as violence, theft, burglary, conspiracy, abuse, neglect, fraud, dishonesty, perjury, forgery, embezzlement, cybercrimes, identity theft, drug-related offences, obstruction, organised crime, prostitution, warrant violations, weapons offences, and crimes endangering the life or property of others. By accessing or utilising the CarryOn Platform, you authorise us to employ your personal information (including name, address, date of birth, or other identifying details) for obtaining such reports. You also concur that we may, at our sole discretion, suspend, cancel, block, restrict, or terminate your access to the CarryOn

Platform based on our assessment of these reports. It's important to note that such actions are at our sole discretion. If we choose to verify your background through these or other means (which we are not obligated to do under these Terms), and designate you as "Verified," this designation signifies that you successfully completed a verification or identification process and should not be interpreted as a public or Member endorsement.


CarryOn SMS, Emails and Text Messaging

Upon creating an Account and becoming a Member, you consent to the possibility of receiving text (SMS) messages or emails as a standard part of the regular business operations associated with your use of the CarryOn Platform. These uses may encompass, but are not restricted to, providing you with requested information from CarryOn or its Members, updating you about new features, functions, enhancements, or modifications to the platform, aiding your identification of desired Members or those who may be willing to discuss "CarryOn Items," and other facets of your Account.


These text (SMS) messages can be automated or non-automated. While CarryOn does not impose any charges for sending or receiving such messages, it's important to be aware that message and data rates may still be applicable based on your mobile carrier or service provider. You have the option to opt out of receiving text (SMS) messages from us at any time by contacting our Support team. Please note that choosing to opt out of these messages may have an impact on your ability to use the CarryOn Platform fully.


Prohibited Actions

Regardless of whether you access or use the CarryOn Platform with or without an account, by accessing, searching, or using the CarryOn Platform in any manner, you agree not to:

  • Use another person's Account to misrepresent yourself, your identity, qualifications, or transactions.

  • Violate any federal, state, local, national, or international law, as well as any rule, regulation, tariff, duty, or customs laws or regulations that may pertain to you, your relationship with other Members, or any "CarryOn Items."

  • Use any automated system, including but not limited to robots, spiders, offline readers, crawlers, or scrapers, to access, copy, maintain, or compile the CarryOn Platform or its content for any purpose without prior written approval from CarryOn.

  • Copy, appropriate, use, or disclose any copyrighted text or other intellectual property, rights of publicity, privacy, or contract rights or otherwise misuse or misappropriate CarryOn Platform information or content, including but not limited to use on a mirrored, competitive, or third-party website.

  • Transmit more request messages through the CarryOn Platform in a given time frame than a human using a typical web browser could reasonably produce.

  • Take any action that may (a) unreasonably strain the CarryOn Platform's infrastructure; (b) interfere or attempt to interfere with the proper functioning of the platform or any third-party participation; (c) bypass measures used to prevent or restrict access to the CarryOn Platform; (d) circumvent, disable, or otherwise interfere with security features of the CarryOn Platform; (e) distribute viruses or any

    other technologies that may harm CarryOn or users; (f) use the CarryOn Platform in a manner that infringes upon any copyrights, trade secrets, or other rights of any third party, including privacy or publicity rights; or (g) circumvent or manipulate any fees, fee structure, or billing associated with interactions, relationships, or transactions on the CarryOn Platform.

  • Use the CarryOn Platform in a way that circumvents your obligation to pay CarryOn or another Member or to fulfill your agreements regarding "CarryOn Items."

  • "Stalk," harass, intimidate any other Member or user of the CarryOn Platform, or collect, harvest, or publish any personally identifiable data from the platform for any unauthorized purposes, including commercial solicitation.

  • Recruit, solicit, or contact Members for employment or any other use not explicitly intended by the CarryOn Platform.

  • Engage in inappropriate or unlawful actions, including submitting content that is hateful, illegal, profane, obscene, defamatory, threatening, discriminatory, or that advocates, promotes, or encourages inappropriate activity, criminal offenses, or conduct that would result in civil liability or a violation of any law.

  • Violate any CarryOn policies governing your use of the platform and interactions with other Members and third parties.

  • Take any action that may undermine the effectiveness or accuracy of the reviews or ratings systems maintained by CarryOn related to Members.

  • Fail to perform as agreed upon with other Members.

  • Engage in fraudulent conduct, including entering into a relationship with another Member with no intention of following through, offering to make prohibited money transfers or arranging for the procurement of "CarryOn Items" that are prohibited by applicable laws at points of departure, transit, or arrival, or entering into a fraudulent relationship or for fraudulent purposes, concluding arrangements off the CarryOn Platform, or circumventing or evading any other requirement in these Terms.

  • Register for more than one (1) CarryOn Account or register an account on behalf of someone other than yourself, or attempt to transfer your CarryOn Account to another individual.

  • Undertake any activity or engage in any conduct inconsistent with the business or purpose of the CarryOn Platform.

  • Attempt to indirectly undertake or achieve any of the aforementioned prohibited actions.


    User-Generated or Third-Party Content

    We may, at our discretion, allow you to post, upload, publish, submit, or transmit content that is created entirely by you or third parties, and not created in whole or in part by us ("User Content"). This User Content may encompass, but is not limited to, profile information, information about "CarryOn Items" or relationships, and similar content. By making User Content available to us, you grant CarryOn an irrevocable worldwide, perpetual,

    non-exclusive, transferable, royalty-free, and fully paid-up license, including the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, perform, transfer, display, publicly perform, stream, broadcast, access, view, and otherwise exploit (by means known at present or to be developed in the future) the User Content on the CarryOn Platform and for any other purpose at our sole discretion, with the exception of private messaging through the

    CarryOn Platform, which will not be used by CarryOn in public advertising. This license granted by you to CarryOn will remain in effect even after the termination of these Terms, the termination of the CarryOn Platform, if applicable, or the termination of your Account.

    CarryOn does not assert any ownership interest or rights in your User Content, and nothing in these Terms will be interpreted as restricting any rights you may have in your User Content.


    You acknowledge and agree that CarryOn has no involvement in the creation, either in whole or in part, of User Content that you provide to CarryOn or to the CarryOn Platform. You are solely responsible for all User Content that you make available, including Requests, Offers, Acceptances, and the information contained therein. Consequently, you represent, warrant, and agree that:


  • You either own or possess all necessary rights, licenses, consent, and releases required to grant CarryOn the rights to User Content under these Terms.

  • Neither the User Content nor your posting, uploading, publication, submission, or transmission of User Content, nor CarryOn's use of your User Content (in whole or in part), infringes, misappropriates, or violates any third party's patent, copyright, trademark, trade secret, moral rights, or other intellectual property or proprietary rights, or results in a violation of any applicable law, rules, regulation, or court order.


    You acknowledge and agree that CarryOn may undertake standard editorial functions related to User Content, including proofreading, editing, summarizing, digesting, or other editing, without becoming the author of such content. It remains your sole responsibility to monitor your User Content and ensure that any edited User Content is accurate and consistent with your representations, warranties, and agreements in these Terms.


    We reserve the right, at our sole discretion, to remove, suspend, disable access to, or otherwise restrict access to the CarryOn Platform or User Content that we consider to be a violation of these Terms, CarryOn policies and procedures, potentially harmful to the CarryOn Platform, CarryOn, or any other Member or third party, or that we find otherwise objectionable or for any other reason.


    Payment Terms and Designation of CarryOn as Limited Payment Collection Agent

    Representations and Warranties Related to Payments

    As mentioned earlier, unless we have a separate written agreement, CarryOn neither owns, creates, sells, offers, resells, provides, controls, manages, buys, offers to buy, brings, offers to bring, nor supplies any "CarryOn Items" or any other tangible or intangible items that you may discuss with another Member. When Shoppers and Travelers make or accept an offer to transact, they are forming a contract with each other. Even though CarryOn may act as a limited payment collection agent, as defined below, it is not a party to any agreements discussed or entered into between Members.

    CarryOn reserves the right to limit the availability of payment services or any aspect or feature of payment services. This limitation may be due to maintenance of systems to ensure proper functioning, system improvements, enhancements, modifications, suspensions, or terminations of any payment service. CarryOn may also introduce new or additional services, including those provided by third parties, at any time. The

    payment-related services may include links to specific third-party websites, applications, services, or resources ("Third Party Services"). These Third Party Services are governed by separate terms and conditions, as well as privacy practices established or controlled by third-party providers, not CarryOn. Members should carefully and independently review these terms. CarryOn is not responsible for the availability, accuracy, reliability, or any other aspect of Third Party Services, including their content. Links or other access to information from Third Party Service providers should not be interpreted as an endorsement by CarryOn of such providers or their services.


    Payment Processing Services

    Payment processing services, a fundamental aspect of the CarryOn Platform, are presently furnished by Stripe. In some cases, these services may encompass money transmission services, which are subject to licenses and regulatory approvals held by Stripe. The provision of payment processing services by Stripe is governed by the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By accepting these Terms or by accessing, searching, or using the CarryOn Platform, you are consenting to abide by the Stripe Connected Account Agreement and the Stripe Services Agreement, even as they may be revised or modified by Stripe in the future. CarryOn's capacity to offer payment processing services through Stripe is dependent on your commitment to provide CarryOn with up-to-date, accurate, and complete information regarding yourself and your payment instruments. You are expressly authorizing CarryOn to share this information and transaction-related data associated with your use of payment-related services with Stripe.

    CarryOn retains the right to offer payment processing services through other third-party vendors. In the event of such a change, CarryOn will notify you through CarryOn Messaging or an alternative method.


    Designation of CarryOn as Limited Payment Collection Agent

    By accepting these Terms and using the CarryOn Platform, Travelers designate CarryOn as their limited payment collection agent, authorized to receive and collect payments for transactions entered into between Members. These payments may include (i) Item Costs, (ii) CarryOn Service Fees, (iii) Traveler's Fees, (iv) Acceleration Fees, if applicable, and (iv) Taxes and other Government Regulatory Fees (such as duties, tariffs, or government charges), collectively referred to as "Total Fees," owed by Shoppers to Travelers as outlined in these Terms. Payments made by Shoppers to CarryOn in connection with an Offer are considered equivalent to payments made directly to Travelers. Travelers agree to provide the CarryOn Items to Shoppers as agreed, as if they had received payment directly from Shoppers. Additionally, Travelers acknowledge that CarryOn's responsibility to remit payments to Travelers is contingent on successful receipt of funds from Shoppers in accordance with the relevant agreements. In its role as a limited payment collection agent,

    CarryOn assumes no liability for the actions or omissions of Shoppers, Travelers, Members, or any other individual. Furthermore, CarryOn does not bear any liability or obligation for funds or obligations owed by Shoppers that were not collected by CarryOn under this provision.


    Each Shopper and Traveler acknowledges that, even though CarryOn is not a direct party to the agreement between Travelers and Shoppers, CarryOn serves as the Traveler's payment collection agent for the sole purpose of receiving payments from Shoppers on the Traveler's behalf. Once Shoppers remit payments to CarryOn, their payment obligation to the Traveler for the agreed-upon amounts is considered fulfilled, and CarryOn is responsible for remitting the collected funds to Travelers in the agreed-upon manner. In cases where CarryOn fails to remit such amounts, Travelers' recourse is solely against CarryOn, and not directly against Shoppers.


    If any Member fails to make a payment correctly or if CarryOn cannot properly charge a designated payment method for any reason, CarryOn explicitly retains all rights under applicable law to recover the payment, along with any associated costs and expenses incurred, including reasonable attorney's fees or other professional fees in pursuing such payments.


    Transactions Between Shoppers and Travelers on CarryOn

    CarryOn aims to create a user-friendly, streamlined, and efficient platform. Globally located CarryOn Shoppers can connect with friends who have better access to desired items in different markets and are willing to bring these items to their CarryOn friends and acquaintances. Simultaneously, CarryOn provides an opportunity for Travelers to assist their friends and community while potentially offsetting their travel expenses. Through the CarryOn Platform, CarryOn fosters connections among diverse individuals and aims to bridge the gaps that can emerge due to geographical distances and cultural differences.


    As described in more detail below, in a typical transaction facilitated on the CarryOn Platform, the Shopper initiates an invitation known as a "Shopper Request," outlining the desired CarryOn Items. Interested Travellers, or Travelers matched by the CarryOn Platform, can then submit offers to transport the CarryOn Items based on the terms agreed upon by the Members in a "Traveller's Offer." Once accepted, the "Shopper's Acceptance" finalises the binding agreement between the Members.


    Shopper Request

    Upon discovering an item of interest, Shoppers are required to create a valid Shopper's Request. This request is initiated when Shoppers use the CarryOn Platform's submission tool to:


  • Provide a detailed description of the item, including the price.

  • Specify the location (City and Country) where the Shopper is currently located or where they wish the CarryOn Items to be brought.

  • Set the desired receipt date.


    To enhance the effectiveness of the request, CarryOn encourages Shoppers to be as specific as possible. There is also a designated space to "Include a Note to Your Traveler," which can help ensure that a Traveller acquires and brings only the requested item.

    Shoppers are reminded not to request Prohibited CarryOn Items.


    Prohibited CarryOn Items

    CarryOn Shoppers explicitly agree not to use the CarryOn Platform or request that a Traveller acquire or transport any items that are prohibited under international laws or the laws of any local jurisdiction that apply to Members, goods, transit, or destination. It is the responsibility of the Shopper (and not CarryOn) to refrain from requesting or transporting any items that are prohibited by the jurisdiction of disembarkation, transit, or embarkation.

    Prohibited items include, but are not limited to:

  • Hazardous Materials

  • Counterfeit goods

  • Currency

  • Stolen property

  • Alcohol

  • Live animals

  • Firearms, ammunition, explosives, or chemicals

  • Human remains

  • Pornography or obscene materials

  • Illegal drugs or regulated drugs (prescription) in violation of the law

  • Any product or item related to illegal activities, such as the production of illegal drugs

  • Any item prohibited by law in the place of origin, destination, or any jurisdiction in transit between the origin and destination

  • Batteries

  • Aerosols or any flammable materials

  • Knives, batons, or other weapons

  • Certain agricultural products

  • Items imported into the country without a customs declaration (if required) CarryOn recommends that Shoppers and Travellers consult the relevant government agencies that regulate items that may or may not be imported into or exported from a country of origin.


Suggested Traveller Fees

When a Shopper creates a Shopper's Request, the CarryOn Platform may automatically calculate a suggested Traveler Fee for illustrative purposes to help the Shopper plan the transaction. However, it's important to note that, as further detailed in the "Fees" section below, the actual Traveler Fee for any specific transaction is determined solely by the Traveler and may differ from the suggested Traveler Fee, whether higher or lower.

The Traveller’s Offer

To facilitate communication and enable Members to connect, including potentially arranging in-person meetings, the CarryOn Platform permits Travelers to input details about their upcoming travel dates. Additionally, Travelers can browse the posted Shopper's Requests made by their CarryOn friends. Travellers have the option to express their interest in receiving notifications about upcoming Shopper's Requests that align with their planned trips or trips they are open to taking.


Once a Traveller identifies a suitable Shopper's Request, they are required to submit a "Traveller's Offer." This offer must include a detailed breakdown of each element of the Total Fees:


Fees

The Traveler's Offer must comprehensively describe the various components that constitute the Total Fees. Once accepted, the Traveler's Offer sets the final and agreed-upon amounts that the Shopper is obligated to pay. These components include:


  1. Item Cost: While the Shopper may specify a price in the Request, the actual Item Cost is the amount determined by the Traveler in the Offer.


  2. Service Fee: This fee is charged for the use of CarryOn Platform by both Shoppers and Travelers. Service Fees are collected by CarryOn from Shoppers and deducted from the amounts remitted to Travellers by CarryOn, acting as the Traveler's limited payment collection agent, as explained above. Service Fees are non-refundable.


  3. Traveler's Fee: The Traveler's Fee is the amount agreed upon by Shoppers to compensate their Traveller friends for assisting with the request. While CarryOn may provide an estimated Traveler's Fee for planning purposes, the actual fee is determined by the Traveler in their Offer. The Service Fee and Traveler's Fee may collectively be referred to as the "Platform Fees" by CarryOn.


  4. Acceleration Fee: If agreed upon by both the Shopper and Traveler, an Expedited Fee may be added to the Items to expedite the Traveler's acquisition and delivery of the items.


  5. Applicable Taxes: CarryOn may calculate an estimate of sales and other taxes associated with the Traveler's Offer. These Applicable Taxes are always itemised separately from the Item Cost and the Platform Fees.


  6. All government fees, tariffs, and duties are the sole responsibility of the Traveler, and the Traveler must ensure that the Shopper is informed of any such fees before the Offer is accepted.

Shopper's Acceptance

Once the Shopper and Traveler have reached an agreement on all aspects, including the agreed-upon timing and Total Fees, the Shopper is required to confirm their acceptance of the Traveler's Offer, a process referred to as the "Shopper's Acceptance." The Shopper's Acceptance represents a mutual agreement on all significant terms between the Shopper and Traveler, binding both parties to fulfill their obligations as previously agreed upon.


Ownership, Acceptance, Risk of Loss, and Insurance

Members acknowledge and consent that unless restricted by applicable law or by mutual arrangement among Members, CarryOn Travelers, not Shoppers, assume ownership of CarryOn'd Items and are responsible for keeping original receipts as proof of ownership. It is further acknowledged and agreed by Members that, to the fullest extent permissible by law, the liability for any loss rests with the Traveler until they have fulfilled all their responsibilities under their agreement with the Shopper, which encompasses delivering the items as agreed upon.

CarryOn strongly encourages Shoppers and Travelers to secure their own insurance policies to address the expenses related to a CarryOn transaction. This proactive step can provide an additional layer of protection for both parties.


Acceptance of CarryOn Items

The Shopper and Travelers must jointly establish a specific timeframe for the acceptance of the CarryOn items when the Shopper's Request is approved by the Traveler. Travelers are responsible for identifying a secure and public meeting place with their Shoppers for inspecting and exchanging goods. The agreed-upon delivery time can only be extended with written agreement from both the Shopper and Traveler through the CarryOn Platform, or by CarryOn itself. Unless the parties reach an alternative agreement in writing, it is the Shopper's responsibility to inspect and accept the CarryOn items at the designated delivery time. The agreement between both parties is considered final upon acceptance, regardless of whether the Shopper is present for inspection.


If the items are not made available for delivery and acceptance within five (5) days from the delivery date, and the Shopper has not inspected and accepted the CarryOn Items, the Shopper's Payment Method will be charged, and the funds will be released to the Traveler. The sole authorized method to extend the delivery, inspection, and acceptance periods previously arranged by the Shopper and Traveler is through written communication between the parties on the CarryOn Platform or notification from CarryOn through the same platform.

Rejections and Refunds

Shoppers are allowed to decline receiving the CarryOn items only when the Traveler has delivered incorrect goods (e.g., items that don't match the agreed-upon specifications in terms of brand, color, style, size, etc.) or if the condition of the CarryOn items is different from what was mutually agreed upon (e.g., if the items are damaged, used, or not as represented). Shoppers cannot reject CarryOn items due to a change of mind, an attempt to renegotiate prices, or because they've found the items elsewhere. Shoppers understand that CarryOn, at its sole discretion, will determine whether the reason for rejection complies with relevant policies, and if CarryOn deems the rejection impermissible or unauthorized, Shoppers consent to their Payment Method being charged, and the transaction will proceed as agreed upon by the parties. With the exception of the circumstances mentioned above, if a Shopper fails to appear for inspection and acceptance within five (5) days of the delivery date, Shoppers must confirm inspection and acceptance of CarryOn items within the CarryOn messaging system on the Platform to release funds to Travelers.


Intellectual Property

All information and materials on our Platform, excluding User Content, are the property of CarryOn or are licensed by their respective owners. You are not authorized to utilize these materials except as expressly permitted in written form. The trademarks and service marks associated with CarryOn, including the logo and graphics, are owned by CarryOn and protected by copyright, trademark laws, and other relevant regulations in the United States, foreign jurisdictions, and international agreements. Any other marks found on the platform belong to their respective owners. By agreeing to these terms, you acknowledge the rights of CarryOn and third parties in their respective marks, and you may not copy, use, or exploit them without written permission. We maintain ownership of all our intellectual property rights, and you are not granted any rights to our intellectual property or any rights related to intellectual property.


Subject to your ongoing compliance with these terms and solely at our discretion, CarryOn provides you with a limited, non-exclusive, revocable, royalty-free, fully paid-up,

non-transferable, and non-sublicensable license to reproduce and display content from the CarryOn Platform (excluding any software source code). This license is granted solely for the purpose of accessing and participating in the CarryOn Platform for personal and

non-commercial use. You are not permitted to use, copy, adapt, modify, create derivative works from, distribute, sell, perform, or display content unless expressly allowed by these terms. No other licenses or rights are implied or provided to you under any intellectual property rights owned or controlled by CarryOn or its licensors.


Warranty Disclaimers

We hope you enjoy using the CarryOn Platform and find it invaluable. However, there are certain things we cannot promise.

YOUR USE OF THE CARRYON PLATFORM IS SOLELY AT YOUR OWN RISK. YOU ACKNOWLEDGE AND AGREE THAT CARRYON IS NOT OBLIGATED, BUT RESERVES THE RIGHT FOR ANY REASON TO (A) MONITOR, REVIEW, OR EDIT USER CONTENT; OR (B) FOR ANY PERMISSIBLE PURPOSE, CONDUCT IDENTITY VERIFICATION, BACKGROUND CHECKS (INCLUDING CRIMINAL BACKGROUND CHECKS), OR REGISTERED SEX OFFENDER CHECKS ON ANY MEMBER OR OTHER PERSON BOUND BY THESE TERMS.


THE CARRYON PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRYON AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, INVESTORS, PARTNERS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


CARRYON AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, INVESTORS, PARTNERS, EMPLOYEES, AGENTS, AND LICENSORS MAKE NO WARRANTY THAT (I) THE CARRYON PLATFORM WILL MEET YOUR REQUIREMENTS;

(II) THE CARRYON PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS OBTAINED FROM USING THE CARRYON PLATFORM WILL BE ACCURATE OR RELIABLE; (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIALS OBTAINED THROUGH THE CARRYON PLATFORM WILL MEET YOUR EXPECTATIONS; AND (V) ANY ERRORS IN THE SOFTWARE, APPLICATIONS, OR CODE WILL BE CORRECTED.


ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE CARRYON PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR AND HEREBY WAIVE ANY AND ALL CLAIMS AND CAUSES OF ACTION RELATED TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, INTERNET ACCESS, DOWNLOAD OR DISPLAY DEVICE, OR LOSS OF DATA RESULTING FROM THE DOWNLOAD OF SUCH MATERIAL.


YOU ARE SOLELY RESPONSIBLE FOR ALL YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER MEMBERS OR USERS OF THE CARRYON PLATFORM AND WITH THIRD PARTIES WITH WHOM YOU INTERACT OR COMMUNICATE AS A RESULT OF YOUR USE OR ACCESS TO THE CARRYON PLATFORM. CARRYON DOES NOT VERIFY THE ACCURACY OF STATEMENTS MADE BY MEMBERS OR

THIRD-PARTY USERS OF THE CARRYON PLATFORM OR VERIFY ANY ITEMS THAT MAY BE THE SUBJECT OF A RELATIONSHIP FACILITATED BY THE PLATFORM.


FURTHERMORE, YOU ACKNOWLEDGE AND AGREE THAT YOU ARE NOT ACTING UPON THE ADVICE OR DIRECTION OF CARRYON OR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, INVESTORS, PARTNERS, EMPLOYEES, AGENTS, AND LICENSORS. NONE OF THEM PROVIDE ADVICE OR DIRECTION FOR YOUR COMMUNICATIONS OR TRANSACTIONS WITH MEMBERS OR THIRD PARTIES, INCLUDING BUT NOT LIMITED TO THE LEGALITY OF YOUR TRANSACTIONS, ITEMS, COMMUNICATIONS, TAXES, DUTIES, FEES, OR OTHER CHARGES, OR GOVERNMENT

OR CUSTOMS OFFICIALS OF ANY RELEVANT COUNTRY IN ANY TRANSACTION ATTEMPTED, CONTEMPLATED, OR COMPLETED BY YOU OR BETWEEN MEMBERS FACILITATED BY THE CARRYON PLATFORM. YOU ALONE ARE RESPONSIBLE FOR ANY STATEMENTS MADE TO ANY GOVERNMENT OFFICIAL REGARDING ANY TRANSACTION ATTEMPTED, CONTEMPLATED, OR COMPLETED BY YOU OR BETWEEN MEMBERS FACILITATED BY THE PLATFORM. THIS INCLUDES ENSURING YOUR TRANSACTION COMPLIES WITH LOCAL LAWS THAT MAY APPLY TO SUCH TRANSACTIONS AND REMAINING SOLELY RESPONSIBLE FOR ANY TAXES, FEES, DUTIES, IMPORT OR EXPORT CHARGES, FINES, PENALTIES, INTEREST, OR PAYMENTS OF ANY KIND RELATING TO YOUR TRANSACTIONS.


NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CARRYON OR THROUGH THE CARRYON PLATFORM, SOFTWARE, OR CODE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.


Liability Limitation

WHERE PERMITTED, AND TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RECOGNIZE AND AGREE THAT THE ENTIRE LIABILITY ARISING FROM YOUR USE OF THE CARRYON PLATFORM, YOUR RELATIONSHIP WITH CARRYON, OR YOUR INTERACTIONS WITH OTHER MEMBERS, RESTS SOLELY WITH YOU. NEITHER CARRYON NOR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, INVESTORS, EMPLOYEES, PARTNERS, AGENTS, OR LICENSORS WILL BE HELD ACCOUNTABLE FOR LOST PROFITS, REVENUES, DATA, OR FINANCIAL LOSSES, OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR IF A LIMITED REMEDY STATED HEREIN FAILS ITS PRIMARY PURPOSE. THIS APPLIES REGARDLESS OF THE NATURE OF THE CLAIM, THE LEGAL BASIS FOR SEEKING RELIEF, OR THE THEORETICAL BASIS FOR RECOVERY, WHETHER IT BE IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.


Indemnification

You consent to release, safeguard, indemnify, and absolve CarryOn, as well as its affiliates, subsidiaries, and their respective officers, directors, investors, employees, and agents, from any claims, responsibilities, losses, damages, injuries, and costs, which may encompass reasonable legal and professional fees. These claims and obligations may arise as a result of or in connection with (a) your use of the CarryOn Platform or your violation of these Terms; (b) your User Content; (c) your interactions with any other Member, Shopper, Traveler, or third party, or any other user of the CarryOn Platform; or (iv) any Request, Offer, Acceptance, or other transactions (including but not limited to any injuries, losses, and damages of any kind, whether direct, indirect, consequential, or otherwise) between you and other Members.

Third Party Sites

The CarryOn Platform may include links or connections to websites or services operated by third parties over which we have no authority. You assume the responsibility for accessing these websites and acknowledge that we bear no liability for any associated risks. We do not assume responsibility and accept no liability for any third-party websites or their content.
